Terms of Use
Campify is a platform that helps connect trainees with accomplished athletes. Our mission is to put instructors first, and these terms attempt to do that. We know that most people skim through terms of use because they're boring, but we have done everything we can to make this easy to get through. Above every section, we'll summarize the most important parts, but these summaries are not legally binding, so please look at the full version of the text for a complete understanding of these terms.
Your Account
To summarize: You must be at least 13 years old to use Campify. You are responsible for your account.
When you create an account, you must provide us with accurate information, in good faith, and you agree to keep your information updated if it changes. To create an account or otherwise use Campify, you must be at least 13 years old and you must also be old enough to consent to the processing of your personal data in your country (in some countries we may allow your parent or guardian to do so on your behalf). You must be at least 18 years old or have your parent's or legal guardian's permission to have an Instructor page on Campify or to purchase an offering or subscription on Campify. Being an Instructor
To summarize: An instructor is someone who creates a page on Campify to engage with trainees who purchase tickets on Campify to attend an instructors camps or events. There are a lot of details below involving payments, fees, taxes, and restrictions that you should read in full if you are an instructor.
Instructor Page
To become an instructor, simply launch your page to start offering your services. When you join Campify, you become part of the Campify community. You can use our tools that we provide to, among other things, showcase your services and engage with the Campify community. On Campify, you can provide your trainees something unique that gives them special training and skills, including additional access and engaging community experiences. In turn, you will receive loyal support from your trainees, and revenue from offerings that trainees have purchased on Campify.
Payments
As an instructor, you may make offerings available on Campify on a one-time basis. Where supported and subject to your controls as applicable, we may automatically increase the prices of offerings to patrons to account for the fees imposed by the platforms (like the App Store) on which the associated purchases were made in a manner that may be determined at our sole discretion.
We typically handle payments issues such as fraud, chargebacks, and resolution of payments disputes, though, for purchases made through certain platforms (like the App Store), the associated platforms may handle these payments issues. We try to provide timely access to the funds you've earned on Campify, usually within 72 hours after the camp or event has ended. At that point, Campify performs a transfer of all available ("transferable") funds to the Stripe account you provided upon registration. Purchases made on certain platforms (like the App Store) and different levels and types of Campify service may have different timelines associated with funds becoming accessible to you and/or may require that reserves of funds are withheld from becoming accessible to you. You may, however, occasionally experience further delays in accessing these funds.
We may also block or withhold access to these funds for violations of our terms or policies or for compliance reasons, including collecting tax reporting information. When this happens, we try to communicate the reason to you promptly. If you have questions about access to funds being blocked or withheld, please reach out to us. In order to protect instructor, we may block patrons' payments if we believe them to be fraudulent. Sometimes activities like refunds to patrons and chargebacks from patrons can put your account balance into the negative and any fees you've incurred from Campify or the platforms (like the App Store) on which the purchases were made, as described below, may not be refunded to you when such refunds and chargebacks are processed. If your balance becomes negative, we reserve the right to recover those funds from future payments.
Fees
As an instructor, there are fees associated with your offerings on Campify. The general nature of these fees is summarized below. These fees may increase with notice to you:
- The platform fee, which may include a flat fee and/or is calculated as a percentage of successfully processed payments. Currently, the platform fee is 5.1% of the total price of the purchase.
- The payment processing fee, which is calculated as a percentage of successfully processed payments and a flat fee per successfully processed payment and relates to the cost of processing payments from trainess, including recurring billing, recovering declined payments, and fighting fraud. Currently, the payment processing fee is 3.4% of the total price of the offering, plus $0.30 per successful charge for domestic cards.
Tax
In order to satisfy our tax obligations, we collect tax identification information and, in certain circumstances, report this information and earnings to tax authorities as legally required. For example, if you are located in the United States or are a United States citizen who has earned $600 or more, Campify is required to issue you a Form 1099-K at year end. For purposes of Forms 1099-K, we treat all instructor earnings as earned for the sales of goods or services. You are responsible for reporting any income, withholding, or other earnings-based taxes which may be due as a result of money you've earned on Campify.
Restrictions
We don't allow camps or events that violate our terms or policies. A high level summary of those rules is that we don't allow:
- illegal camps or events;
- camps or events that are abusive towards other people;
- camps or events that are misleading or deceptive;
- camps or events that use others' intellectual property, unless you have written permission to use it, or your use is protected as fair use;
We are constantly experimenting with product features to make Campify better and may add, remove, or test features with a subset of instructors. Access to these features is not guaranteed and may not be subject to your control. Instead, we may enable and disable these early-access, beta, or test features at our sole discretion. These features may also be subject to additional restrictions and limitations, including some that we describe in our Help Center.
Being a Trainee or Attendee
To summarize: A trainee or attendee is someone who makes a purchase on Campify, which provides exclusive training, access and assistance from accomplished athletes. Through a camp or event on Campify, trainees may receive training and directly interact with instructors using tools supplied by us, and, through Campify, have the opportunity to engage with a community of trainees and instructors.
To become a trainee or attendee, simply purchase or freely obtain a ticket on Campify. Subject to these terms and full payment of all applicable charges, to the extent a ticket includes access to one or more of an instructor's camps or events, you receive a non-exclusive, non-transferable, non-sublicensable, revocable, limited license to access and attend those camps or events for your own private, personal, non-promotional, non-commercial use. Camps or events you gain access to in this manner will generally continue to be available to you, but may become unavailable at any time as described below.
If you are located in a jurisdiction in which Campify is required to charge and collect tax, for example VAT or sales tax, then this tax is added to the total charge. Except in limited circumstances, this tax is shown to you when purchasing a ticket. Campify remits all tax collected to the applicable taxing authority. As tax is largely dependent on your location, you agree to keep your location complete and up to date in order to enable accurate collection of taxes.
We are constantly experimenting with product features to make Campify better and may add, remove, or test features with a subset of trainees. Access to these features is not guaranteed and may not be subject to your control. Instead, we may enable and disable these early-access, beta, or test features at our sole discretion. These features may also be subject to additional restrictions and limitations, including some that we describe in our Help Center.
Refunds. Our policy is not to provide refunds after the camp or event has ended, including if you lose access to camps and/or events as described above, though we may allow for some exceptions where refunds are granted at our sole discretion. If you made a purchase on certain platforms (like the App Store), then Campify may not be able to address any associated refund requests, and you may need to contact those platforms directly.
Release
To summarize: To the full extent permitted by applicable law, you agree not to hold us responsible for anything that happens related to transactions with third parties, attendee interactions, or in connection with a Campify camp or event. You also agree not to hold instructors/organizers responsible for their negligence in connection with their Content, a Campify group, or camp/event.
To the full extent permitted by applicable law, you agree to release us and our officers, directors, shareholders, agents, employees, consultants, corporate parent, affiliates, subsidiaries, sponsors, and other third-party partners ( "Campify Parties”) from claims, demands, and damages (direct and consequential) (“Claims”), arising out of or in any way connected with any transaction with a third party, your interactions with other attendees, or in connection with a Campify camp or event. You also agree, to the full extent permitted by applicable law, to release organizers from Claims based on an organizer's negligence arising out of or in any way connected with their Content, a Campify camp or event. The law in some countries and states do not allow the release, so these limits may not apply to you. You waive and relinquish all rights and benefits that you have or may have under Section 1542 of the California Civil Code or any similar provision of statutory or non-statutory law of any other jurisdiction to the fullest extent permitted by law.
You acknowledge that some Campify camps or events carry inherent dangers, such as the risk of illness, bodily injury, disability, or death. By participating in these events, you understand and agree that you have freely chosen to assume these risks.
Indemnification
To summarize: To the full extent permitted by applicable law, you agree to reimburse us if we get sued in connection with your use of our Platform.
To the full extent permitted by applicable law, you agree to indemnify, defend and hold all Campify Parties harmless from any Claims, made by any third party due to or arising out of (a) your violations of this Agreement, (b) your use, misuse, or abuse of our Platform, (c) your Content, (d) your violation of any law, statute, ordinance or regulation or the rights of a third party, or (e) your participation or conduct in a Campify camp or event that violates this Agreement. You agree to promptly notify us of any third party Claims, cooperate with all Campify Parties in defending such Claims, and pay all fees, costs and expenses associated with defending such Claims (including, but not limited to, attorneys’ fees). You agree not to settle any Claim without our prior written consent.
Warranty Disclaimer and Limitation of Liability
To summarize: Our Platform is provided to you “as is” and we make no warranties of any kind with respect to our Platform. Our liability in connection with the Platform is limited to the fees you paid to us in the 12 months preceding the claim or $100, whichever is greater.
Warranty Disclaimer. Our Platform is provided to you “as is” and on an “as available” basis. To the full extent permitted by applicable law, we disclaim all warranties and conditions of any kind, including but not limited to statutory warranties, and the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We also disclaim any warranties regarding (a) the reliability, timeliness, accuracy, and performance of our Platform, (b) any information, advice, services, or goods obtained through or advertised on our Platform or by us, as well as for any information or advice received through any links to other websites or resources provided through our Platform, (c) the results that may be obtained from the Platform, and (d) the correction of any errors in the Platform, (e) any material or data obtained through the use of our Platform, and (f) dealings with or as the result of the presence of marketing partners or other third parties on or located through our Platform. You may have additional rights under the law of the country in which you are based. You agree that the duration of such additional rights will be limited to the full extent permitted by such law.
Limitation of Liability. To the full extent permitted by applicable law, you agree that in no event shall any Campify Parties be liable for any direct, indirect, incidental, special, or consequential damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if any Campify Parties have been advised of the possibility of such damages) arising out of or in connection with (a) our Platform or this Agreement or the inability to use our Platform (however arising, including our negligence), (b) statements or conduct of or transactions with any member or third party on the Platform, (c) your use of our Platform or transportation to or from Campify events, attendance at Campify events, participation in or exclusion from Campify camps or events and the actions of you or others at Campify events, or (d) any other matter relating to the Platform. Our liability to you or any third parties in any circumstance is limited to the greater of $100 or the amount of fees, if any, you paid to us in the 12 months prior to the action that may give rise to liability. The limitations set forth above in this Section 8 will not limit or exclude liability for our gross negligence, fraud, or intentional, malicious, or reckless misconduct. Some laws do not allow the limitation or exclusion of liability, so these limits may not apply to you. If you are a member based in the EU, you have legal remedies if we cause you loss by our breach or non-performance of our legal obligations, or by our negligence, and these terms do not affect those statutory remedies.
